These Terms govern your engagement with Media Perfection LLC (“Media Perfection,” “we,” “us”). By engaging us for services or making a payment, you agree to these Terms.
Media Perfection offers project-based consulting, software development, database and system architecture, AI and automation consulting, WordPress and membership platform work, creative media production, and timelapse cinematography. Specific deliverables, timelines, and acceptance criteria for each engagement are defined in a separate written proposal, statement of work, or email exchange between you and Media Perfection.
Work begins after you accept a written proposal or scope and pay any required deposit. Changes to scope, deliverables, or timelines after work begins are handled through written change orders that may adjust the fee and schedule.
All fees are quoted and payable in U.S. Dollars (USD) unless explicitly stated otherwise. Payments are processed securely through Stripe and may be made by major credit or debit card (Visa, Mastercard, American Express, Discover) or by ACH bank transfer where available. Media Perfection does not see or store full payment card numbers.
Most engagements require a non-refundable deposit before work begins, with the remainder due on milestones or upon completion as defined in the proposal. Invoices are due upon receipt unless otherwise stated. Past-due balances may accrue interest at 1.5% per month or the maximum allowed by Oregon law, whichever is less.
Deliverables — including source code, design files, video, photography, and written deliverables — are provided electronically (via email, shared drive, repository, or other digital means) at project completion or at agreed milestones. There are no physical goods to ship. Specific delivery formats and timelines are agreed in the project proposal.
Upon full payment of all fees due for a project, you receive a perpetual, non-exclusive license to use the final deliverables Media Perfection produced for you. Pre-existing tools, code libraries, methods, and creative techniques developed by Media Perfection remain its property and may be reused on other engagements. Third-party assets (stock footage, licensed fonts, open-source libraries) remain subject to their own license terms.
We treat confidential information you share with us as confidential and use it only to perform the engagement. We may reference our work for you (project name, general description, non-sensitive visuals) in our portfolio and marketing unless you ask us in writing not to.
You agree to provide accurate information, timely feedback, and any materials reasonably required for us to complete the work. Delays caused by missing materials, approvals, or access may extend the schedule and are not grounds for refund.
Services and deliverables are provided “as is.” Media Perfection makes no warranty that deliverables will be free from defects, uninterrupted, or fit for any particular purpose beyond what is explicitly described in the project proposal.
To the maximum extent permitted by law, Media Perfection's total liability arising out of or related to an engagement is limited to the fees you have paid Media Perfection for that engagement in the prior six months. Media Perfection is not liable for indirect, incidental, consequential, or lost-profit damages.
Either party may end an engagement on written notice. Refund handling on cancellation is governed by the Refund Policy.
These Terms are governed by the laws of the State of Oregon, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Baker County, Oregon, unless the parties agree to arbitration in writing.
We may update these Terms from time to time. The version in effect at the time you engage us applies to that engagement.
